You agree to release, defend, indemnify, and hold harmless the IAM Solutions Parties from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your infringement or violation of any intellectual property or other right of any person or entity; or
• Your violation of any applicable law, rule, or regulation.

In the event you are dissatisfied with the Site, the Content, or any portion thereof, your sole and exclusive remedy is to discontinue use of the Site.

While we implement measures to protect the security of the Site, please be aware that no data transmission or storage system can be guaranteed to be 100% secure. You are solely responsible for maintaining the confidentiality of your account credentials, where applicable, and for all activities that occur under your account. IAM Solutions shall not be liable for any losses arising from unauthorized use of your account due to your failure to keep your credentials secure.

Nothing in this Agreement or on the Site should be construed as granting, by implication or otherwise, any license or right to use any Marks without the express written permission of IAM Solutions or the applicable trademark owner.

This Agreement and all matters relating to your access to or use of the Site shall be governed by and construed in accordance with the laws of the Commonwealth of Puerto Rico, without regard to conflict of laws principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located in San Juan, Puerto Rico, and you hereby irrevocably submit to the personal and exclusive jurisdiction of such courts.

This Agreement, together with any other policies or disclaimers posted on our Site (including but not limited to our Privacy Policy), constitutes the entire agreement between you and IAM Solutions regarding your use of the Site and supersedes all prior agreements, understandings, or representations, whether written or oral.

• Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver: Our failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.
• Assignment: You may not assign or transfer any rights or obligations under this Agreement without our prior written consent. We may freely assign our rights and obligations under this Agreement.
• Headings: The headings used in this Agreement are for convenience only and have no legal or contractual effect.
